Braun Medical, visit www.BBraunUSA.com . Responsibilities Position Summary: The General Counsel will serve as a business partner in support of B. Braun's strategic initiatives. This role will be a key member of the Company's executive management team with oversight and management responsibility for all legal and compliance matters. The General Counsel will serve as a business-oriented legal advisor, counseling on issues of overarching importance to the Company and assisting in setting and implementing the Company's overall strategic direction. This role will serve as the primary legal advisor to the board of directors, and as a key advisor to the CEO and other members of the executive management team. B. Braun seeks an experienced lawyer who demonstrates a passion for the business and the Company's profitable growth strategy, is aligned with the culture of the organization, and who will develop a highly regarded, business-facing and proactive legal function. The General Counsel will partner closely with the B. Braun Melsungen SE General Counsel and broader legal department to ensure appropriate communication, uniformity and collaboration. As a key member of the executive management team, the General Counsel will anticipate and mitigate legal, regulatory and business risks in the course of protecting the Company's reputation and interests. This role will bring a decisive, business-minded focus with sophisticated legal judgment and the leadership skills necessary to successfully drive both legal and business strategy.-- Responsibilities: Essential Duties The General Counsel must have a broad business orientation and will have responsibility for the following:

  • Actively providing cross-functional advice and counsel on a wide range of legal, regulatory and commercial matters as a key member of the executive management team; these issues will include policy formulation, allocation of resources and achievement of the Company's overarching strategies.
  • Active and engaged counseling on both the business and legal ramifications of significant Company strategic imperatives, including possible acquisitions, divestitures, joint ventures, other possible investments and negotiating and structuring transactions.
  • Advise the Company on the litigation risks of possible business decisions.
  • Proactive and preventive legal counseling and actively managing any threatened and pending litigation; oversight of material settlement negotiations and alternative dispute resolution matters.
  • Ensuring B. Braun has a best-in-class compliance program in compliance with all laws, rules, and regulations that may apply to the Company's activities.
  • Establishing a culture of compliance and ensuring compliance best practices.
  • Developing effective policies, procedures and training inclusive of all functional areas across B. Braun.
  • Monitoring the regulatory landscape and anticipating changing regulations and policies and their impact on B. Braun.
  • Guiding and advising the Board and its constituent committees on their responsibilities under the rules and regulations to which they are subject including corporate governance related matters.
  • Leading, building and developing the Company's legal function, including mentoring and training the team with an eye towards developing potential successors.
  • Overall administrative management of the legal function including managing a legal budget and seeking and increasing efficiencies across the function, as well as continuous improvement in the provision of effective, risk appropriate legal services.
  • Partner with the global legal team to create alignment and consistency in processes, systems and services across the global legal function, where appropriate.
  • Responsible for choosing and managing outside counsel where necessary and evaluating the quality and costs of services of outside legal counsel. The General Counsel must be an experienced lawyer with the legal background, business orientation and interpersonal skills sufficient to function successfully in a highly visible and legally challenging position. Expertise: Knowledge & Skills
    • 15+ Years of Legal Experience is required
    • Relevant legal experience gained preferably initially with a well-regarded law firm followed by time spent as a general counsel, regional general counsel, or deputy/associate general counsel at a company in a relevant industry
    • Proven Counselor to Senior Executives
    • Experience counseling senior executives, boards of directors and their committees and individual board members on a range of legal matters.
    • Team Leadership and Management of Outside Counsel
    • Demonstrated experience building, managing and developing a legal department of comparable scale. Experience supervising and cost effectively managing outside legal resources.
    • Broad-based Legal Experience
    • Experience overseeing a breadth of legal matters, ideally including exposure across both litigation matters, including employment disputes, class actions, IP litigation and managing outside counsel, as well as overseeing and negotiating complex corporate, commercial and business transactions including mergers, acquisitions and investments and other long-term contracts as well corporate finance. Qualifications Expertise: Qualifications -Education/Experience/Training/Etc CRITICAL LEADERSHIP CAPABILITIES Business Acumen The General Counsel must demonstrate a strong and pragmatic general business perspective and commercial orientation; a lawyer who understands the role the legal function can play in supporting business objectives and uses knowledge of the business and the law to advise on risk/reward trade-offs; sees ahead clearly and can identify how to accomplish future goals and possesses an interest in advising on business strategy. The successful candidate has excellent judgment, sensitivity and experience, and the ability to take a stand as appropriate on those important occasions when management appropriately looks to its chief legal officer for decisive guidance. The General Counsel must have the strength of character to provide the CEO and executive management with an objective and independent point of view. Collaborating and Influencing The General Counsel will engage the Company's business leaders, executive management and board of directors, as well as partner with the Company's German legal function and global business leaders, to build collaboration. This person will listen, partner, and team with other leaders on business decisions. The successful candidate will gain credibility with the senior leadership team and the board of directors by consistently delivering business-oriented advice in a timely fashion; communicating technical concepts in concise business terms while providing alternatives and recommendations to leadership; building effective relationships throughout the Company with an emphasis on collaboration; and ultimately by being a creative problem-solver. Leadership and Management The General Counsel must be able to lead and create a positive climate across a legal department. He or she must have proven experience developing talent, building and motivating a legal team, and when necessary instituting change within a law department. The General Counsel must lead with transparency and integrity and have the ability to drive change and manage risk.
